By accessing or using NoonSpy (the website at noonspy.com and the Chrome extension), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, please do not use our service.

2. Description of Service

NoonSpy is an independent product research tool for Noon UAE sellers. We provide:

• A Chrome browser extension that analyzes Noon UAE product pages
• A web dashboard for tracking products and price history
• AI-powered listing analysis and recommendations
• Competitor and market intelligence tools

3. Independent Service Disclaimer

NoonSpy is NOT affiliated with, endorsed by, or in any way officially connected to Noon.com, Noon UAE, or any of their subsidiaries. "Noon" is a trademark of its respective owners. We use the name "NoonSpy" descriptively to indicate the marketplace our tool serves.

4. Account Registration

To use certain features, you need to create an account. You agree to:

• Provide accurate information when registering
• Keep your password secure and confidential
• Be responsible for all activity under your account
• Notify us immediately of any unauthorized use
• Use a valid email address you have access to

5. Acceptable Use

You agree NOT to use NoonSpy to:

• Violate any laws (UAE, your country, or international)
• Infringe on intellectual property rights

6. Data Accuracy & "As Is" Service

NoonSpy provides product data, sales estimates, and analytics for informational purposes only. We strive for accuracy, but:

• Sales estimates are based on public signals and may differ from actual sales
• Prices, ratings, and ranks may change after we collect them
• We do not guarantee any specific business outcome from using our tool

You use NoonSpy at your own discretion. Always verify critical business decisions independently.

7. Free & Paid Plans

NoonSpy offers a free tier with limited features and paid plans with expanded features. By subscribing to a paid plan:

• You authorize us to charge your payment method on the agreed schedule
• Subscriptions renew automatically until cancelled
• You may cancel anytime from your account settings
• Refunds are at our discretion, considered case-by-case
• Prices may change with 30 days advance notice

8. Intellectual Property

All NoonSpy software, design, branding, content, and functionality are the property of NoonSpy. You may NOT:

• Copy or modify our code, extensions, or website
• Resell access to our service
• Use our branding or trademarks without permission

You retain ownership of any data you input into NoonSpy (e.g. your cost calculations, notes).

9. User-Generated Content

If you submit feedback, ideas, or suggestions to us, you grant us a perpetual, royalty-free license to use them for improving NoonSpy.

10. Termination

We may suspend or terminate your account at any time, with or without notice, if you:

• Violate these Terms
• Engage in fraudulent or abusive behavior
• Misuse our service in ways that harm us or other users

You may delete your account anytime via your settings page.

11. Disclaimer of Warranties

NoonSpy is provided "AS IS" and "AS AVAILABLE" without any warranty of any kind, express or implied. We do not guarantee:

• That the service will meet your specific business needs

12. Limitation of Liability

To the maximum extent permitted by law, NoonSpy is not liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, data, or business opportunities arising from your use of the service.

Our total liability for any claim is limited to the amount you paid us in the 12 months prior to the claim.

13. Indemnification

You agree to defend and hold harmless NoonSpy from any claims arising from your misuse of the service, violation of these Terms, or violation of any third-party rights.

14. Changes to Terms

We may update these Terms from time to time. Material changes will be communicated via email or website notice. Continued use of the service after changes means you accept the new Terms.

15. Governing Law

These Terms are governed by the laws of the United Arab Emirates. Disputes will be resolved in UAE courts, except where local consumer protection laws require otherwise.
